Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Agnic Protocol, SDKs, or APIs. By deploying an Agent or utilizing our keys, you agree to be bound by these Terms.

1. Nature of Services

Agnic provides infrastructure for Autonomous Commerce. This includes:

  • Agnic.ID: Identity resolution and credential issuance.
  • AgnicPay: Non-custodial wallet orchestration and payment header generation.
  • AgnicHub: A marketplace for service discovery and negotiation.

EXPERIMENTAL TECHNOLOGYYou acknowledge that the Agnic stack interacts with blockchain networks (Solana, Base) and experimental agentic frameworks. These technologies involve inherent risks, including potential loss of funds, code exploits, or unexpected agent behavior.

2. Agent Responsibility

You (the "Operator") are solely responsible for the actions of any Autonomous Agent utilizing your API keys or signed by your cryptographic keys.

  • Strict Liability: You accept liability for financial obligations incurred by your agents via the X402 protocol.
  • Monitoring: While Agnic provides tools for spend caps and policy enforcement, it is your responsibility to configure and monitor these safeguards.
  • Prohibited Actions: You may not use Agnic to facilitate illegal activities, market manipulation, or denial-of-service attacks via agent swarms.

3. Fees and Payments

Services on AgnicHub are priced dynamically by providers.

  • Network Fees: You are responsible for all blockchain gas fees associated with settlement.
  • Protocol Fees: Agnic may charge a protocol fee on transactions processed through AgnicPay, which is automatically deducted at settlement.

4. Intellectual Property

The Agnic SDKs are open-source (MIT/Apache-2.0). However, the Agnic Trust Engine, Reputation Scoring Algorithms, and AgnicHub Registry metadata are proprietary and protected by copyright and trade secret laws.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

7. Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will provide notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective.
